Milan, 10 Sept. (LaPresse) – The Extraordinary General Meeting of Intesa Sanpaolo shareholders, which met today, approved the capital increase to fund the public exchange offer (OPA) for MPS with 10,952,907,059 votes in favour, representing 96.96025 per cent of the ordinary shares represented. Intesa Sanpaolo announced this in a statement. 63.884 per cent of the share capital was present. The Meeting – as stated in Intesa’s press release – approved, with 10,952,907,059 votes in favour, representing 96.96025 per cent of the ordinary shares represented, the proposal under the sole item on the agenda, concerning the Board of Directors’ authority – to be exercised by 10 September 2027 – to increase the share capital, on one or more occasions, through the issue of a maximum of 5.7 billion ordinary shares – the issue price of which will be determined in accordance with the provisions of the law and the authorisation granted to the Board of Directors – to be paid up by way of a contribution in kind, in connection with the voluntary public takeover and exchange offer for all the ordinary shares of Banca Monte dei Paschi di Siena, launched by Intesa Sanpaolo and announced on 8 June 2026”.
