Italgas, Antitrust Authorizes Acquisition of 2i Rete Gas with Conditions

Milan, March 11 (LaPresse) – The Italian Competition Authority has conditionally authorized the acquisition of 2i Rete Gas Spa by Italgas Spa. The operation, involving the two largest natural gas distributors in Italy, raised competition concerns regarding future territorial tenders for the selection of gas distribution service concessionaires in 65 Italian areas (Atem). This was stated in a note from the Italian Competition Authority.

Following a complex investigation, which involved numerous operators and industry associations, the Authority approved the operation subject to compliance with divestment and behavioral measures. Specifically, Italgas must divest at least 20% of the withdrawal points (Pdr) it manages under existing concessions in 31 Atem and the acquired share in another 4 Atem, following the specific procedures and timing set in the decision, under the supervision of a monitoring trustee approved by the Authority.

Furthermore, in all 65 Atem areas under review, the company must adopt behavioral measures (financial, contractual, technical, and informational facilitation) to encourage the participation of other operators in the tender process, ensuring effective competition against Italgas during the procedure.
